DIOGENES MUSIC LTD · CUSTOMER INFORMATION
These terms explain the basis on which DIOGENES MUSIC LTD provides music event planning consultation, prepares written planning materials and agrees project scope, fees, delivery arrangements and customer responsibilities.
Effective immediately upon publicationThese Terms & Conditions apply to services provided by DIOGENES MUSIC LTD, a company registered in England and Wales.
These terms govern the provision of music event planning consultation services agreed between DIOGENES MUSIC LTD and the customer. They should be read alongside the relevant service description, written quotation or project confirmation and any applicable policies referred to in that confirmation.
If a project-specific written agreement expressly varies a provision of these terms, the agreed variation will apply to that project to the extent that it is lawful.
If the customer is a consumer, nothing in these terms excludes or restricts a statutory right that cannot lawfully be excluded or restricted. If the customer is acting for a business, provisions applicable specifically to consumers may not apply to that contract.
We provide planning consultation and written guidance for music events and related projects. Depending on the service agreed, the work may include:
The specific service content depends on the package selected and the scope confirmed in writing. We do not undertake work that has not been agreed as part of the project.
An enquiry submitted through our website is a request for information or a proposed service. Submitting an enquiry does not, by itself, guarantee acceptance of a project or create an obligation for either party to proceed.
Before work begins, we will confirm the relevant service scope, deliverables, fee and estimated delivery arrangements in writing. A contract is formed when the customer’s agreement to the proposal and our acceptance are communicated, or otherwise in accordance with the agreed contracting process.
The customer should check the project confirmation and raise any discrepancy before agreeing to proceed. Information about the service that forms part of the contract will be handled in accordance with applicable law.
The agreed scope defines the planning work to be undertaken and the outputs to be supplied. Depending on the service, deliverables may include a written event outline, programme recommendations, preparation schedule, staffing considerations, technical planning notes or review comments.
Deliverables will be supplied in the format confirmed for the project, normally as electronic documents or written communication. Editable source files, presentation decks, printed copies or other special formats are not included unless expressly agreed.
Recommendations are prepared using the information available and the scope agreed. If the brief does not include a particular topic, task or deliverable, it will not automatically form part of the service.
The applicable fee will be stated in the service information, quotation or written project confirmation. Any displayed price range is indicative of the relevant service and does not replace confirmation of the price for an individual project.
The final agreed fee will reflect the service scope, the deliverables requested and any additional work accepted by both parties. We will explain material changes to the proposed fee before proceeding with work outside the original scope.
Any applicable taxes, including VAT where relevant, will be treated in accordance with the information provided to the customer and applicable law.
No additional charge will be introduced for extra work without informing the customer of the proposed change and obtaining agreement where required.
Customers should provide information that is accurate, reasonably complete and relevant to the agreed planning work. Depending on the project, this may include:
We may rely on information supplied by the customer unless the project expressly includes verification. If information is incomplete, inaccurate or changed, the resulting recommendations may need to be reviewed and the delivery estimate may be affected.
Customers are responsible for ensuring that they have the necessary rights and permissions to share any documents, images, schedules or other materials supplied for the project.
Our standard working method is based on documents and written communication. We do not require fixed meetings as part of the standard service unless a different arrangement is expressly agreed in writing.
The estimated delivery date or delivery period will be confirmed for each project. Timing may depend on the agreed scope, the complexity of the brief and the timely receipt of information needed to prepare the work.
If a delivery date has not been expressly agreed, the service will be performed within a reasonable time, taking account of the nature and circumstances of the work and applicable law.
We will communicate material changes to the expected delivery timeframe in writing as soon as reasonably practicable.
Further information about our delivery process is available in the Service Delivery Policy.
Customers may request a clarification, correction or change by written communication. We will assess whether the request falls within the agreed scope.
Corrections needed because a deliverable does not match the agreed scope will be considered in accordance with the contract and applicable law.
Requests that materially change the brief, add new deliverables or require substantial additional planning may need a revised fee and delivery estimate. We will explain the proposed changes and obtain agreement before undertaking additional chargeable work.
Follow-up questions or revisions are included only to the extent stated in the agreed service. There is no automatic entitlement to unlimited revisions, but this does not limit any statutory rights that apply where the original service does not conform to the contract.
Cancellation rights depend on the nature of the contract, the customer’s status and the circumstances in which the agreement was made.
Where a consumer enters into a qualifying distance or off-premises service contract, a statutory cancellation period will generally apply. For relevant service contracts, this is usually 14 days from the day after the contract is concluded, subject to the applicable legal rules and exceptions.
If a customer expressly requests that work begins during an applicable cancellation period and then cancels, a proportionate amount for work already supplied may be payable where the legal requirements for that charge have been satisfied. Different rules may apply where the service is fully performed and the required prior consent and acknowledgement have been obtained.
Refunds will be handled in accordance with the applicable agreement and consumer law. We will not rely on these terms to exclude a cancellation right or remedy that the law preserves.
Please read our separate Cancellation & Refunds Policy for further details and instructions on how to submit a cancellation request.
Each party retains ownership of intellectual property that it owned or controlled before the project began. The customer retains responsibility for any materials supplied by the customer and for ensuring that their use in the project is authorised.
Unless a separate written agreement states otherwise, planning documents and recommendations prepared for a customer may be used by that customer for the event or project identified in the agreed brief.
The customer must not represent our work as the work of another person or use it in a way that infringes third-party rights. Any broader rights, exclusivity, assignment or licence arrangements must be agreed expressly in writing.
Nothing in this section transfers ownership of third-party materials or grants rights that DIOGENES MUSIC LTD does not own or have permission to grant.
We will handle non-public information supplied for a project with appropriate care and use it for the purposes of reviewing the brief, preparing the agreed work, communicating with the customer and meeting relevant legal obligations.
Information may be shared with service providers where reasonably necessary to operate our website, communications or business administration, subject to applicable obligations and safeguards. We will not treat information as confidential where it is already lawfully public or where disclosure is required by law.
Customers should not send information that is unrelated to the planning service or that they are not authorised to share.
We will perform the agreed service with reasonable care and skill and provide the deliverables specified in the project confirmation.
Event planning recommendations are advisory. Their suitability depends on the accuracy of the information supplied, the agreed brief and circumstances that may change after delivery.
We do not guarantee attendance figures, revenue, audience response, commercial performance, supplier availability or the overall success of an event. Such outcomes depend on factors beyond the planning documents and our control.
Our services do not replace legal advice, specialist technical assessments, venue requirements, risk assessments or professional advice that may be necessary for a particular event.
Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law. This includes liability that cannot lawfully be excluded for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and any mandatory consumer rights.
Subject to the preceding paragraph, we are responsible for losses that are legally recoverable and arise from our breach of contract or other actionable conduct, in accordance with applicable law.
To the extent permitted by law, we are not responsible for outcomes caused by inaccurate or incomplete information supplied by the customer, decisions made independently by the customer, third-party supplier conduct or changes in circumstances outside the agreed scope of our service.
We do not assume responsibility for booking venues, appointing performers, supplying equipment, obtaining permits or managing event operations unless a separate written agreement expressly includes a specific responsibility.
Nothing in this section is intended to create an unfair term, remove a statutory remedy or prevent a customer from relying on a right that applies under law.
If circumstances outside our reasonable control materially affect our ability to carry out the agreed work, we will inform the customer as soon as reasonably practicable and explain the likely effect on the project.
We will consider reasonable steps to reduce disruption and, where appropriate, agree a revised delivery arrangement with the customer.
This section does not automatically remove either party’s contractual obligations or statutory rights. Any cancellation, refund or other remedy will be assessed under the agreement and applicable law.
If you have a question or concern about the service, please contact us in writing and include the project details, the relevant deliverable and a description of the issue.
We will review the information and respond with the next steps. Where a correction or other remedy is required by the agreement or applicable law, we will address the matter accordingly.
Please use the contact details in Section 20. We recommend keeping a copy of your correspondence for reference.
Personal information submitted through our website or in project correspondence is handled in accordance with our Privacy Policy.
Information about cookies and similar website technologies is set out in our Cookie Policy.
Visitors should use the website lawfully and must not knowingly attempt to disrupt its operation, gain unauthorised access to its systems or submit material that infringes another person’s rights.
We may update these terms when our services, business arrangements or legal obligations change. The current version will be published on this page.
An updated version will apply to new agreements from the time it takes effect. Changes to an existing contract will not automatically apply retrospectively; where a variation to an existing agreement requires the customer’s agreement, we will seek that agreement.
Customers should review the applicable terms when enquiring about a new service. The terms and project details agreed at the time of contract formation remain relevant to that agreement, subject to any lawful variation.
These terms and any dispute or claim arising from them will be governed by the laws of England and Wales, subject to any mandatory legal protections that apply to the customer.
The courts of England and Wales may have jurisdiction over disputes, but this provision does not deprive a consumer of any mandatory jurisdictional protection or right to bring proceedings that applies under relevant law.
